company authorizing:

The filing of an application for recognition of the foreign parent
company and registration of its branch office with the Taiwan government,

The appointment of the branch manager,

The appointment of a designated agent (nature person) for the foreign
parent company for litigious and non-litigious matters, and ,
- The
appointment of L & C Company, Certified Public Accountants,
to apply for recognition of the foreign company and establishment
of its branch office.

of attorney appointing UHY L&C Company, Certified Public Accountant,
to apply for recognition of the foreign parent company and to register
its branch in Taiwan.

- Power
of attorney appointing the foreign parent company's designated agent
(nature person) in Taiwan for litigious and non-litigious matters.

- The foreign
parent company's articles of incorporation and by-laws (including all
amendments to date).

- List
of the foreign parent company's directors, including name, nationality,
position, and place of residence of each director.

- Photo
copy of the passport and Alien Resident Certificate (for a foreign national)
or Taiwan Identification Card (for a local Taiwaness) of the branch
manager, and of the foreign parent company's designated agent (nature
person) for litigious and non-litigious matters.

- Foreign
parent company's operation results for past 3 years (including number
of its employees) and its annual report.

- Operating
plan of the branch for first year of operations in Taiwan.

- Copy
of building tax receipt, office lease agreement, building title and
usage certificates of Branch's office to be located.(Office must be
located at approved commercial or office area.)

- Bank's
advice of inward remittance, exchange memo, and bank deposit certificate
evidencing amount of operating capital remitted to Taiwan. Such capital
must be transferred through bank transfer.

- Notes
- Documents
are required to be notarized by a notary public and attested to
by the nearest Embassy, Consulate or a Representative of the government
of Taiwan, the Republic of China, in the country in which the foreign
company reside.
